Limited Liability Companies: The New Uniform Act and Current Status of the Series LLC

The LLC has been with us since Delaware enacted the first LLC statute in 1996. It can probably be anticipated that within the next ten years, virtually all states will offer a series LLC alternative. This course analyzes the Revised Uniform Limited Liability Company Act that was finalized last year. This Act is an important development that should be monitored closely by LLC practitioners. In addition, this course compares the recently enacted Illinois series LLC statute with the Delaware statute, and discusses some of the open tax issues that remain regarding the tax characterization of series LLCs.

Pointing out the fact that series LLC's have not been tested in courts and need more time to develop is a good observation. The various state tax treatments were the most relevant parts of the program to my practice.
